Terms of Use
Compassionate Accountability & Private Community
By purchasing Compassionate Accountability & Private Community (hereinafter “Community”), you, the purchaser (hereinafter “Member”) enters an agreement with Mia Hemstad LLC (hereinafter "Company") and agree to the following terms:
1. Program Deliverables
Company agrees to provide the following deliverables:
3 posts per week in the private community
Response to comments and questions in 1-3 business days
2. Access to Community
Member will retain access to Community for as long as Member continues to make on-time payments and adheres to the Community Guidelines found in the Member Portal. Company reserves the right to remove Member and cancel Member’s subscription payment when Member fails to adhere to the Community Guidelines or fails to may on-time payments. Company also reserves the right to close Community at any time for any reason, in which case, Company will give Member 30 days of notice before closing Community.
3. Disclaimer
Company's Privacy Policy, which can be viewed by clicking on this link, is hereby incorporated by reference into this agreement. Member understands that Company will be providing educational content and that Company’s obligations under this Agreement exist only while Member is a paying member of the Community and that Company’s obligations will cease once Member or Company cancels payment. Member also understands that Company is not providing one-on-one services on behalf of Member.
4. Assumption of Risk
Member understands that the use of Community is done at Member’s own risk. The information published in the Community is for informational purposes only. Any reliance Member places on such, Member does at Member’s own risk. Member understands that while great care is taken to provide Member with the best information possible, Company makes no representations or warranties of any kind, express or implied, about the reliability, accuracy, completeness, security, or currency of the information provided.
5. Informational Purposes Only
In no way is the information provided meant to be a substitute for medical or psychological advice. This information does not serve to diagnose, treat, or provide a cure for any condition Member may be experiencing. If Member requires medical or psychological services, it is the responsibility of Member to seek out the attention of a licensed doctor or mental health professional.
6. Not Professional Medical Services
Company provides life coaching services. The services Company is providing through Community is not to be construed as medical advice.
7. Company Is Not Providing Professional Healthcare Services
Company does not claim to and will not be held responsible for diagnosing, treating, or curing any physical or mental health condition, nor will Company be prescribing any form of medication. Company’s services do not take the place of healthcare professionals. Under no circumstances should Member stop seeing their team of healthcare professionals.
If Member decides to take action based on the services Member receives from Company, Member does so at their own risk. Member understands and acknowledges that COMPANY IS NOT PROVIDING PROFESSIONAL HEALTHCARE SERVICES. COMPANY IS NOT SERVING AS A PROFESSIONAL HEALTHCARE PROVIDER.
8. Testimonials
Any testimonials provided on Company’s website www.miahemstad.com and in Community are opinions of those providing them. The information provided in the testimonials is not to be relied upon to predict results in your specific situation. The results you experience will be dependent on many factors including but not limited to your level of personal responsibility, commitment, and abilities, in addition to those factors that Member and/or Company may not be able to anticipate.
9. Payment
In consideration of Member’s access to Community, Member agrees to pay a monthly subscription of $10.00 per month. Member hereby authorizes Company to charge Member’s credit card or debit card automatically.
10. No Refunds
Company does not offer refunds for Community.
11. Cancellation
Member may cancel subscription at any time.
12. Intellectual Property
Company owns the rights to all content in Community, such as texts in the forms of guides, books, classes, videos, explanations and the like, as well as other graphics, logos, images, downloads, and other like materials. Member’s participation in Community does not transfer any intellectual property rights to Member. Company grants Member a single-use, non-exclusive, non-transferable, revocable access to any and all Community content. Member agrees not to create any derivative works of the content found in Community.
13. Force Majeure
Company shall not be liable or responsible to Member, nor be deemed to have defaulted or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by or results from acts or circumstances beyond the reasonable control of Company including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion, or hostilities (whether war is declared or not), terrorist threats or acts, riot, or other civil unrest, national emergency, revolution, insurrection, epidemic, pandemic, lock-outs, strikes or other labor disputes (whether or not relating to either party’s workforce), or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, materials or telecommunication breakdown or power outage.
14. Independent Contractor
Nothing in this Agreement shall be construed to create a partnership, joint venture, employment, or agency relationship. Company agrees only to provide Member with access to Community, which provides education and information. The information contained in Community, including any interactions with the instructors, is not intended as, and shall not be understood or construed as, professional advice.
15. Severability
If any provision of this Agreement shall be declared invalid or unenforceable, such provision shall be deemed eliminated from this Agreement, and all remaining provisions shall continue in full force and effect.
16. Liability
Member agrees to absolve and does hereby absolve Company of any and all liability or loss Member may suffer or incur as a result of use of Community and/or any information and resources contained in Community. Member agrees that Company shall not be liable to Member for any type of damages, including direct, indirect, special, incidental, equitable, or consequential loss or damages for use of Community.
17. Warranty
Company makes no representations about the suitability, reliability, availability, timeliness, and accuracy of the information, software, products, services, classes, videos, PDFs, downloads, and related graphics contained in Community for any purpose. To the maximum extent permitted by applicable law, all such information, software, products, services, classes, videos, PDFs, downloads, and related graphics are provided “as is” without warranty or condition of any kind. Company and/or its suppliers hereby disclaim all warranties and conditions with regard to this information, software, products, services, classes, videos, PDFs, downloads, and related graphics including all implied warranties or conditions of merchantability, fitness for a particular purpose, title, and non-infringement.
18. Assignment
Member may not assign this Agreement without express written consent of Company.
19. Modification
Company may modify terms of this agreement at any time. All modifications shall be posted on the Company’s website and Members shall be notified.
20. Indemnification
Member agrees to indemnify, defend, and hold harmless Company, its officers, directors, employees, agents, and third parties for any losses, costs, liabilities, and expenses (including reasonable attorneys’ fees) relating to or arising out of Member’s use of or inability to use Community and related services, any user postings made by Member, your violation of any terms of this Agreement or your violation of any rights of a third party, or Member’s violation of any applicable laws, rules or regulations.
21. Dispute Resolution
Member expressly waives any and all claims, now or in the future, arising out of or relating to Community. To the extent Member attempts to assert any such claim, Member hereby expressly agrees to present such claim only in the small claims courts in Orange, CA.
